SPG Business Terms & Conditions

Participation in the Starwood Preferred Guest BusinessSM program (the "Program") is subject to the following terms and conditions (these “Terms and Conditions”): 

  1. PROGRAM ELIGIBILITY:
    1. Companies that participate in the Program ("Member Companies") must be legal corporate entities registered with the government of the Member Company's country, and with a valid tax ID number, business number, or other equivalent documentation.
    2. The Program is not available to (i) companies that participate in any other Starwood Hotels & Resorts Worldwide, Inc. ("Starwood") sales programs (including, without limitation, SET PreferredSM or Global Preference), (ii) government entities or government owned entities, (iii) retail travel agencies, (iv) wholesalers, (v) travel management companies, or (vi) airlines
    3. Notwithstanding anything to the contrary contained herein, a Member Company's eligibility to participate (and to continue participation) in the Program is at the sole discretion of Starwood. If a Member Company does not have a minimum of 50 Qualifying Room Nights at Participating Starwood Properties booked during the applicable Qualifying Period through a Starwood Channel using the Member Company’s corporate SET number (“SET Number”) or through a Global Distribution System (“GDS”) using the Member Company’s specific rate access codes (“Rate Codes”) during the applicable Qualifying Period (the “Enrollment Threshold”), as well as meeting any additional thresholds for specific benefits as set forth in these Terms and Conditions, the Member Company will not earn the benefits set forth in these Term and Conditions (the “Program Benefits”) and Starwood may terminate the Member Company’s account:
      1. Qualifying Period” is a full calendar year (January 1 through December 31); provided that during the first year the Member Company is enrolled in the Program, the Qualifying Period is the Initial Qualifying Year.  “Initial Qualifying Year” is (i) with respect to Member Companies that had a SET Number prior to enrolling in the Program, either (a) the full calendar year (January 1 through December 31) prior to the date that the Member Company enrolled in the Program  or (b) the period of time from the beginning of the calendar year (January 1) of the year that the Member Company enrolled in the Program and the date on which the Member Company enrolled in the Program; provided that if the Member Company would earn a higher level of Program Benefits if either clause (a) or clause (b) was used to calculate the Initial Qualifying Year, then such clause will be used to determine the Initial Qualifying Year, or (ii) with respect to Member Companies that did not have a SET Number prior to enrolling in the Program, the full calendar year (January 1 through December 31) following the date that the Member Company enrolled in the Program.
      2. Qualifying Room Night” is a guest room booked through a Starwood Channel using the Member Company’s SET Number or through a GDS using the Member Company’s Rate Codes for a night at any Participating Starwood Property.
      3. Participating Starwood Property” is any hotel which is owned, operated, franchised or managed by Starwood or its affiliates, which elects to participate in the Program. Member Companies acknowledge that individual Starwood properties will make independent determinations regarding participation in the Program and that Starwood does not control the participation decision of its individual properties.
      4. Starwood Channel” is a channel owned or operated by or on behalf of Starwood or a Participating Starwood Property through which a guest room can be directly booked with Starwood or a Participating Starwood Property by contacting a Participating Starwood Property directly, calling a Starwood customer contact center and through a website owned and operated by Starwood or a Participating Starwood Property.
    4. All Member Companies, including, without limitation, associations, membership clubs, and other social groups, may only provide the Program Benefits to paid employees of the Member Company.
    5. Only stays at Participating Starwood Properties will count towards achieving the thresholds set forth in Section 3(b)
  2. GENERAL PROGRAM:
    1. Starwood may change the Program rules, these Terms and Conditions, processes, regulations, travel or other awards, and special offers at any time, with or without notice. This means that changes may be initiated that affect, but are not limited to, strategic marketing partner affiliations, rules for earning benefits, rules for the use of benefits, continued availability of benefits, benefit inventory, benefit types, and the features of special offers. Starwood reserves the right to terminate the entire Program with six months' advance notice to all then-Active Member Companies (as defined below), and immediately upon notice in the case of a termination relating to the substitution of a new replacement program. This means that the right of a Member Company to receive benefits can be terminated six months after we give notice. Member Companies will be considered "Active" so long as they have not been removed from the Program.
    2. Membership in the Program is free and is available to Member Companies based in municipalities that legally permit participation in frequent stay programs.
    3. Fraud or abuse concerning membership privileges or Program Benefits is subject to appropriate administrative and/or legal action by Starwood, including the forfeiture of Program Benefits, the termination of Program membership and privileges for the Member Company, and any legal or equitable remedies. At any time, if a computer virus, bug, or other technical problem, including but not limited to any electronic, hardware or software program, network, Internet, or computer malfunction, failure or difficulty of any kind, or any condition caused by events beyond the reasonable control of Starwood, regardless of the cause, affects, compromises, or corrupts the administration or security of the Program, Starwood shall, in its sole discretion, have the right to void any Program Benefits that are not obtained through authorized legitimate methods and adjust any unauthorized changes to a Member Company's account. In addition, we reserve the right, in our sole discretion, to immediately terminate a Member Company's membership account, if the Member Company acts in a manner inconsistent with local, state, or federal laws or ordinance; in a fraudulent or abusive manner; otherwise misuses the benefits of membership; is ineligible to participate in the Program; or fails to pay any valid bill or account when due to Starwood or its hotels, resorts or properties. Nothing contained in these Terms and Conditions shall limit Starwood in the exercise of any legal or equitable rights or remedies.
    4. Earning of Program Benefits pursuant to the Program is subject to all applicable laws and regulations and these Terms and Conditions.
    5. In the event a Member Company does not continue to maintain the Enrollment Threshold set forth herein, its membership account may be closed and all Program Benefits forfeited, including, without limitation, elite status upgrade awards.
    6. A Member Company cannot have more than one Program membership, unless such Member Company's subsidiaries are separate legal entities, or to the extent that Starwood determines that a Member Company's branch office(s) may be set up with a separate, distinct membership account. Each Program membership is for the specific Member Company and can only be administered by the designated account contacts. Starwood shall not be held liable or responsible for any internal policies regarding the Program or Member Company Program Benefits for subsidiaries or branch offices.
    7. By participating in the Program, the Member Company and any employee or account contact of the Member Company hereby: (a) authorize Starwood and each of its affiliated and subsidiary companies, and their respective agents, employees and others working on their behalf (collectively, the "Starwood Group") to collect, process, and use all the data provided by the Member Company and/or any employees or account contacts of the Member Company (including personally identifiable information) for any lawful, business-related purpose that the Starwood Group deems appropriate, and (b) authorize the Starwood Group to store this data at such location(s) and with such party(ies) as the Starwood Group deems appropriate, whether within the Member Company’s country of registration, any applicable individual’s country of residence or elsewhere, and for the Starwood Group directly, or through its third party vendor(s), to transmit whether by mail, facsimile or electronically, or by other reliable means, all or part of such data to any location(s) throughout the world that the Starwood Group deems necessary, whether within the applicable individual’s country of residence or elsewhere.
  3. EARNING PROGRAM BENEFITS:
    1. After a Member Company has met the Program’s Enrollment Threshold and completed the enrollment process for the Program, the Member Company will be eligible to receive during the Discount Eligibility Period the following discounts off the Lowest Unrestricted Retail Rate for Qualifying Room Nights at Participating Starwood Properties booked through a Starwood Channel using the Member Company’s SET Number or through a GDS using the Member Company’s Rate Codes:
      1. a 5% discount off the Eligible Charges for a stay at a Participating Starwood Property if during the applicable Qualifying Period (a) the Member Company is not located in a Growth Market and more than 99 Qualifying Room Nights and less than 500 Qualifying Room Nights are booked at Participating Starwood Properties using the Member Company’s SET Number or Rate Codes during the Member Company’s Qualifying Period or (b) the Member Company is located in a Growth Market and more than 49 Qualifying Room Nights and less than 500 Qualifying Room Nights are booked at Participating Starwood Properties using the Member Company’s SET Number or Rate Codes; and
      2. a 7% discount off the Eligible Charges for a stay at a Participating Starwood Property if during the applicable Qualifying Period more than 499 Qualifying Room Nights are booked at Participating Starwood Properties using the Member Company’s SET Number or Rate Codes.
        1. Discount Eligibility Period” is the period of time from the 15th day of the month following the date that the applicable threshold set forth in this Section 3(a) is met (for example, if the applicable threshold is met on July 12, 2015, the applicable discount will be available starting on August 15, 2015) (the “Initial Discount Eligibility Date”) through December 31st of the subsequent full calendar year following the Initial Discount Eligibility Date.
        2. Lowest Unrestricted Retail Rate” is the lowest retail rate (excluding taxes and automatic mandatory charges) offered by a Participating Starwood Property for a guest room at such Participating Starwood Property at a given time that does not have special restrictions such as requiring pre-payment, restricting cancellation, or requiring advance purchase.
        3. Eligible Charges” are any amounts paid for a Lowest Unrestricted Retail Rate for a booking using the Member Company’s SET Number or Rates Codes.  No other charges are included in Eligible Charges, including, without limitation, any taxes, automatic mandatory charges, incidental charges or food and beverage charges.
        4. Growth Market” is one of the following jurisdictions: Mexico, Panama, Colombia, United Arab Emirates, China (including Hong Kong and Macau), Brazil, Russia, India, Chile, Nigeria, Bangladesh, Peru, Qatar, Sri Lanka, Costa Rica, Philippines, Argentina, Korea, Indonesia, Vietnam, Cambodia, Myanmar, Laos, Malaysia, Thailand, Brunei, Nepal or Bhutan.  The preceding list may be changed at any time at Starwood’s sole discretion.
    2. Each Member Company will be eligible to earn the following elite status upgrade awards that it will be able to provide to any paid employee of the Member Company; provided that such employee must become a member of the Starwood Preferred Guest program prior to redeeming such award:
      1. one Gold Preferred Guest elite status upgrade award if during the applicable Qualifying Period more than 99 Qualifying Room Nights and less than 250 Qualifying Room Nights are booked at Participating Starwood Properties using the Member Company’s SET Number or Rate Codes;
      2. one additional Gold Preferred Guest elite status upgrade award (in addition to the Gold Preferred Guest elite status upgrade award that would be issued pursuant to Section 3(b)(i)) if during the applicable Qualifying Period more than 249 Qualifying Room Nights and less than 500 Qualifying Room Nights are booked at Participating Starwood Properties using the Member Company’s SET Number or Rate Codes;
      3. one additional Gold Preferred Guest elite status upgrade award (in addition to the two Gold Preferred Guest elite status upgrade awards that would be issued pursuant to Section 3(b)(i) and Section 3(b)(ii)) for every 500  Qualifying Room Nights that are booked at Participating Starwood Properties using the Member Company’s SET Number or Rate Codes during the applicable Qualifying Period; and
      4. one additional Platinum Preferred elite status upgrade award (in addition to any Gold Preferred Guest elite status upgrade awards that would be issued pursuant to Section 3(b)(i), Section 3(b)(ii) and Section 3(b)(iii)) for every 1,000 Qualifying Room Nights that are booked at Participating Starwood Properties using the Member Company’s SET Number or Rate Codes during the applicable Qualifying Period.  For the avoidance of doubt, if 2,350 Qualifying Room Nights were booked at Participating Starwood Properties using a Member Company’s SET Number during an applicable Qualifying Period, the Member Company would earn 2 Platinum Preferred elite status upgrade awards (1 at 1,000 Qualifying Room Nights and 1 at 2,000 Qualifying Room Nights) and 6 Gold Preferred elite status upgrade awards (1 at 100 Qualifying Room Nights, 1 at 250 Qualifying Room Nights, 1 at 500 Qualifying Room Nights, 1 at 1,000 Qualifying Room Nights, 1 at 1,500 Qualifying Room Nights and 1 at 2,000 Qualifying Room Nights).
    3. Any Program Benefits earned by the Member Company pursuant to these Terms and Conditions (with the exception of any Program Benefits awarded pursuant to Section 3(b)) will be posted to the Member Company’s account on the 15th day of the month following the date that the applicable threshold set forth in Section 3(a) is met, regardless of when during the Qualifying Period such Program Benefits are earned (for example, if the applicable threshold is met on July 12, 2015, the Program Benefits will be posted to the Member Company’s account and will be available to be used by the Member Company’s employees on August 15, 2015.
    4. Any elite status upgrade award that is awarded to the Member Company’s account pursuant to Section 3(b) will be (i) available to be issued to an employee of the Member Company on the 15th day of the month following the date that the applicable threshold set forth in Section 3(b) is met (for example, if the applicable threshold is met on July 12, 2015, the elite status upgrade award will be posted to the Member Company’s account and will be available to be issued to an employee on August 15, 2015), and (ii) valid from the date that the Member Company issues such elite statute upgrade award to the applicable employee and the employee redeems such elite status upgrade award through February 28th of the calendar year that is two years following the date such elite status upgrade award is available to be issued pursuant to clause (i) of this Section 3(c) (the “Upgrade Eligibility Period”) (for example, if the elite status award upgrade is issued by the Member Company and redeemed by the applicable employee on August 16, 2015, the elite status upgrade award will be valid until February 28, 2017 and the Upgrade Eligibility Period will be August 16, 2015 through February 28, 2017).  The elite status upgrade awards will be governed by the Starwood Preferred Guest program terms and conditions.    On March 1st following the Upgrade Eligibility Period, the employee that receives an elite status upgrade award will be downgraded to the Preferred Guest level unless he/she independently qualifies to retain elite status.
    5. In order to receive any of the Program Benefits provided pursuant to Section 3(a) and Section 3(b) during a calendar year, the thresholds to achieve such Program Benefits (as set forth in Section 3(a) and Section 3(b), respectively) must be achieved in the applicable Qualifying Period prior to such calendar year.  If the Member Company fails to meet such thresholds during such prior applicable Qualifying Period, the Member Company will no longer receive any Program Benefits as of January 15th of the calendar year following such Qualifying Period (including, without limitation, the Program Benefits set forth in Section 3(a) and Section 3(b)) that the Member Company was receiving in the prior calendar year.  For the avoidance of doubt, the fact that a Member Company did not meet the thresholds set forth in Section 3(b) during the applicable Qualifying Period will not impact the Upgrade Eligibility Period for any elite status upgrades that were issued to, and redeemed by, its employees in the prior Qualifying Period.
    6. Starwood may correct any Program Benefits, including, without limitation, any elite status upgrade awards, posted in error on a Member Company account or issued to a Starwood Preferred Guest program member at any time.
  4. MEMBER COMPANY ACCOUNT CONTACTS
  5. The Member Company is solely responsible for maintaining at least one account contact and must designate an individual to be such account contact. Each account contact must have a valid email address registered with Starwood.  In the event that the Member Company’s does not have a single account contact who wishes to receive information about and manage the Member Company’s account, the Member Company must provide Starwood with the name and valid email address of someone who will be managing the Member Company’s account. Each account contact, whether an employee of the Member Company, a travel agent, or other individual specified by the Member Company, has sole discretion (in addition to any other account contact maintained by the Member Company) over  issuing any elite status upgrade awards from the Member Company’s account to any employee of the Member Company that he/she chooses; provided such employee is a member of the Starwood Preferred Guest® program or becomes a member of the Starwood Preferred Guest® program prior to redeeming such award.  Elite status upgrade awards designated to be issued by any account contact will be issued on a first come, first served basis.  Each account contact will also be responsible for notifying his/her employer, principal and client of any Program Benefits, including, without limitation, any elite status upgrade awards, received under the Program, and shall comply with any gift and incentive policies that may apply.  Each Member Company will be responsible for ensuring that any employee that is issued any elite status upgrade awards will be provided a copy of these Terms and Conditions and the Starwood Preferred Guest program terms and conditions.  By accepting any Program Benefits, amenities, offers, awards or services, including, without limitation, any elite status upgrade awards, an employee acknowledges that he/she is responsible for determining whether he/she is eligible to receive, and that he/she is eligible to receive, such Program Benefits, amenities, offers, awards or services (including, without limitation, any elite status upgrade awards) under applicable laws, gift policies and incentive policies and the Starwood Preferred Guest program terms and conditions.  Each employee who receives any such Program Benefits, amenities, offers, awards or services (including, without limitation, any elite status upgrade awards) must immediately notify Starwood if he/she is not eligible to receive any Program Benefits, amenities, offers, awards or services at any time.  Starwood bears no responsibility for the issuing of any Program Benefits, including, without limitation, elite status upgrade awards.
  6. ADDITIONAL BENEFITS
    1. Certain information with respect to any guest at a Participating Starwood Hotel who uses a Member Company’s SET Number or Rate Codes and any relevant transaction history may be shared with such Member Company; provided that no personally identifiable information (as defined as name, address, or membership number) will be attached to any transaction information shared with a Member Company. However, in the event that the Company’s SET Number or Rate Codes are used in connection with less than four transactions in any given quarter, any transaction information will be provided in aggregate form only. No folio level data will be shared with the Member Company account.
    2. Upgrades to an enhanced room at time of check-in for any employee of a Member Company that has listed the Member Company’s SET Number  in his/her Starwood Preferred Guest program member account.  Upgrades to an enhanced room are based on room availability and are not offered at Aloft or Element properties. Enhanced rooms are identified by each Participating Starwood Property and may include rooms on higher floors, corner rooms, newly renovated rooms, or rooms with preferred views.
    3. Guaranteed 4 p.m. late checkout worldwide may be requested by any employee of a Member Company that has listed the Member Company’s SET Number in his/her Starwood Preferred Guest program member account; provided that late checkout is subject to availability at some resort and conference locations during peak periods.
  7. OTHER PRINCIPLES
    1. By accepting any Program Benefits, amenities, offers, awards or services, including, without limitation, any elite status upgrade awards, the Member Company acknowledges that it is responsible for determining whether it is eligible to receive, and that it is eligible to receive, such Program Benefits, amenities, offers, awards or services (including, without limitation, elite status upgrade awards) under applicable laws, gift policies and incentive policies.  Each Member Company must immediately notify Starwood if (i) it is not eligible to receive any Program Benefits, amenities, offers, awards or services at any time and for any reason, including, without limitation, pursuant to any applicable laws, gift policies or incentive policies, or (ii) its account has been credited with any Program Benefit that the Member Company may earn under the Program that it has not earned or is not eligible to earn.
    2. At any time and in Starwood’s sole discretion (including, without limitation, where a Member Company was not eligible to earn a specific benefit pursuant to these Terms and Conditions), Starwood may correct the Program Benefits credited to a Member Company’s account (including, without limitation, any elite status upgrade awards that are issued to any employee).
    3. Program Benefits may not be sold, bartered or transferred (other than by Starwood or its agents).  Any attempted transfer, sale or barter will be void.  Starwood and its partners may refuse to honor or recognize any Program Benefits which Starwood believes may have been transferred, sold or bartered.
    4. Program Benefits may be subject to income or other taxes.  The Member Company is responsible for paying all such taxes and for making all applicable disclosures to third parties.  Starwood will not be liable for any tax liability, duty or other charges in connection with the issuance of any Program Benefits, including, without limitation, any elite status upgrade awards.
    5. Starwood makes no warranties or representations, either expressed or implied with respect to type, quality or fitness of goods or services provided through the Program or by Participating Starwood Properties.
    6. Program Benefits will not be provided on any portion of Eligible Charges for a single stay at an individual Participating Starwood Property in excess of ninety (90) consecutive days, whether or not the guest checks out and re-registers during such stay.
    7. Special offers will be voided, and Program Benefits will not be provided to a Member Company if a property leaves the Starwood hotel system or discontinues its participation in the Program before such offer is redeemed or such Program Benefit is provided, or with respect to any portion of a stay after a property leaves the Starwood system or terminates participation in the Program.
    8. The Member Company agrees to indemnify and hold harmless Starwood, its subsidiaries and its affiliates from any liability, costs and/or damages relating to any claims, including, without limitation, any third party claims, arising from a failure to disclose the receipt of any Program Benefits, including, without limitation, any elite status upgrade awards.
    9. Starwood may remove any Member Company from the Program at any time with immediate effect and without written notice, for any reason and in Starwood's sole discretion, including, without limitation, the failure to meet the eligibility qualifications established and maintained by Starwood in its sole discretion.
    10. Starwood is not responsible for: (a) any loss or misdirection of, or delay in receiving, any Member Company application, correspondence, redemption requests, or Program Benefits; (b) theft or unauthorized redemption or use of any Program Benefits; (c) any acts or omissions of third parties (including, without limitation, Participating Starwood Properties); or (d) any errors published in relation to the Program, including, without limitation, any typographical errors, errors of description, errors regarding Participating Starwood Properties, and errors in the crediting or debiting of Program Benefits from Member Company accounts.  Starwood reserves the right to correct, without notice, any errors.
    11. All interpretations of these Terms and Conditions and the rules of the Program membership will be at Starwood’s sole discretion, and Starwood’s decisions will be final.  In the event of any discrepancy between the English version and any translated version of these Terms and Conditions, the English language version will prevail.
    12. Starwood’s waiver of any breach of these Terms and Conditions by any Member Company will not constitute a waiver of any other prior or subsequent breach of these Terms and Conditions.  Starwood’s failure to insist upon strict compliance with these Terms and Conditions by any Member Company will not be deemed a waiver of any rights or remedies that Starwood may have against that or any other Member Company.  Starwood may waive compliance with these Terms and Conditions in its sole discretion and may run promotions from time to time that provide enhanced benefits to select Member Companies.
    13. IN NO EVENT WILL STARWOOD OR ANY PARTICIPATING STARWOOD PROPERTY BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, WHETHER BASED IN CONTRACT, TORT OR OTHERWISE, WHICH ARISE OUT OF OR ARE IN ANY WAY CONNECTED WITH THE PROGRAM OR THESE TERMS AND CONDITIONS.
    14. Any disputes arising out of or related to the Program or these Terms and Conditions will be handled individually without any class action, and will be governed by, construed and enforced in accordance with the laws of the State of New York, United States, without regard to its conflicts of law rules.  The exclusive jurisdiction for any claim or action arising out of or relating to these Terms and Conditions or the Program may be filed only in the state or federal courts located in the State of New York, United States.
    15. Membership in the Program and the earning and redeeming of Program Benefits are subject to all applicable local laws and regulations.  Membership in the Program and Program Benefits are offered in good faith; however, they may not be available if prohibited or restricted by applicable law or regulation in the Unites States or the Member Company’s jurisdiction of residence.  If any part of these Terms and Conditions is held to be unlawful or unenforceable, that part will be deemed deleted from these Terms and Conditions in such jurisdiction and the remaining provisions will remain in force.
    16. Aloft, Element, Four Points, Le Meridien, Preferred Guest, Sheraton, SPG, Starwood, St. Regis, The Luxury Collection, W, and Westin and their logos are trademarks of Starwood or its affiliates, and Member Company shall never, directly or indirectly, interfere with, challenge, file applications for, or claim ownership to these trademarks anywhere in the world.
    17. All parties are bound to the general Starwood privacy policy.
    18. These Terms and Conditions, together with those incorporated herein or referred to herein constitute the entire agreement between Starwood and Member Companies relating to the subject matter hereof, and supersede any prior understandings or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on the SPG Business Program website (www.spg.com/business).
    19. Additional terms and conditions apply for promotional offers; please refer to the individual terms and conditions for each promotion.
